SAGE MEDIATION MODEL DISPUTE RESOLUTION CLAUSES
STANDARD MEDIATION CLAUSE
This agreement shall be governed by and construed in accordance with Singapore Law. Any dispute arising out of or in connection with this agreement must be submitted for mediation at Sage Mediation Pte Ltd (SAGE) in accordance with SAGE’s Mediation Protocol in force for the time being. Either/any party may submit a request to mediate to SAGE upon which the other party will be bound to participate in the mediation within 45 days thereof. Every party to the mediation must be represented by a person with the authority to negotiate and settle the dispute.
Unless otherwise agreed by the parties, the mediator will be appointed by SAGE, and there will be [number] mediator(s). The mediation will take place in Singapore in the [English] language and the parties agree to be bound by any settlement agreement reached.

ARBITRATION-MEDIATION-ARBITRATION CLAUSE
Any dispute arising out of or in connection with this contract, including any question regarding its existence, validity, or termination, shall be referred to and finally resolved by arbitration administered by the Singapore International Arbitration Centre (“SIAC”) in accordance with the Arbitration Rules of the Singapore International Arbitration Centre (“SIAC Rules”) for the time being in force, which rules are deemed to be incorporated by reference in this clause.
The seat of the arbitration shall be Singapore. The Tribunal shall consist of [number] arbitrator(s). The language of the arbitration shall be [English].
The parties further agree that at a time before the commencement of the arbitration hearing, they will attempt in good faith to resolve the dispute through a mediation organised by Sage Mediation Pte Ltd and conducted in accordance with the Sage Mediation Protocol for the time being in force. Any settlement reached in the course of the mediation shall be referred to the arbitral tribunal appointed by SIAC and may be made a consent award on agreed terms.
